Terms of Service

Welcome to PhotoCRM. These Terms of Service ("Terms") govern your access to and use of PhotoCRM's photography business management platform, website, and services (collectively, the "Service"). By accessing or using PhotoCRM, you agree to be bound by these Terms.

Please read these Terms carefully before using the Service. If you do not agree to these Terms, you may not access or use PhotoCRM.

1. Definitions

"Service" refers to the PhotoCRM platform, website, and all related services provided at photocrm.io.

"You," "Your," or "User" refers to the individual or entity using PhotoCRM.

"We," "Us," or "PhotoCRM" refers to the PhotoCRM platform and its operators.

"Account" refers to your registered user account on PhotoCRM.

"Content" refers to all data, files, text, images, videos, project files (including Adobe Creative Suite files), and other materials uploaded or created through the Service.

"Client Data" refers to information about your photography clients that you store in PhotoCRM, including contact details, project history, email communications, invoices, and contracts.

"Email Data" refers to email messages sent, received, or synced through PhotoCRM's Gmail integration, including message content, metadata, and open tracking data.

"Integrations" refers to third-party services connected to your account, including Gmail, Google Drive, OneDrive, Google Calendar, and Stripe.

2. Account Registration and Eligibility

2.1 Eligibility

You must be at least 18 years old and capable of entering into legally binding contracts to use PhotoCRM. By creating an account, you represent and warrant that you meet these eligibility requirements.

2.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate accounts with inaccurate or incomplete information.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach. We recommend enabling multi-factor authentication (MFA) for enhanced security.

2.4 One Account Per User

Each person may maintain only one active account. Creating multiple accounts to circumvent service limitations or restrictions is prohibited.

3. Pricing

PhotoCRM is free to use. There is no subscription required and no credit card needed to get started. All users receive 20GB of cloud storage and full access to all features at no cost. A 1.5% platform fee is applied to client payments processed through PhotoCRM's Stripe integration (see Section 7.4 for details). Optional storage upgrades are available for users who need more than 20GB.

We reserve the right to introduce paid plans or pricing changes in the future. If we do, existing users will be notified at least 30 days in advance, and any changes will be clearly communicated before taking effect.

4. Acceptable Use

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use PhotoCRM for your lawful business purposes.

4.2 Prohibited Activities

You agree NOT to:

  • Violate any laws, regulations, or third-party rights
  • Upload illegal, harmful, threatening, abusive, harassing, defamatory, or obscene content
  • Upload malware, viruses, or malicious code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools (bots, scrapers) to access the Service without permission
  • Resell, sublicense, or distribute the Service to third parties
  • Remove or modify any proprietary notices or labels
  • Use the Service to send spam or unsolicited communications
  • Abuse or overload our systems or interfere with Service operations
  • Store or share copyrighted material without proper authorization
  • Use the Service for any illegal or unauthorized purpose

4.3 Storage and File Uploads

Your storage usage must not exceed your plan's storage limit (20GB on the free plan). We support a wide range of file types including images, videos, RAW camera formats, Adobe Creative Suite files (Premiere Pro, After Effects, Photoshop, Lightroom), cinema camera formats (RED, Blackmagic, ARRI), LUT files, documents, and more. Individual files may be up to 5TB in size. Executable files (.exe, .bat, .dll, etc.) are prohibited. We reserve the right to suspend uploads if you exceed your storage limit.

4.4 Team Access and Permissions

PhotoCRM supports multi-user teams with role-based permissions (Owner, Admin, Editor, Member, Viewer). Each team member has independent access to integrations (e.g., each member connects their own Gmail). Team permissions control access to projects, clients, media, invoicing, analytics, pipeline, and email features. The account owner manages team roles and permissions.

5. Your Content and Data

5.1 Ownership

You retain all ownership rights to your Content and Client Data. PhotoCRM does not claim any ownership over your photographs, client information, or other materials you upload. Your data is yours — period.

5.2 No Selling or Remarketing of Your Data

We do not sell, share, rent, or remarket your data. Ever. Your client lists, contact information, project data, photographs, emails, invoices, and all other data stored in PhotoCRM will never be sold to third parties, used for advertising, shared with data brokers, or used for any purpose other than providing the Service to you. We do not build advertising profiles from your data. We do not share your client lists with competitors. Your clients are your clients.

5.3 License to Us

By uploading Content to PhotoCRM, you grant us a limited license to store, process, display, and transmit your Content solely to provide the Service. This includes generating thumbnails, processing videos, backing up your data, and displaying your business logo across the platform (navigation header, invoices, contracts, client portal, and email templates). We will not use your Content for any other purpose without your explicit permission.

5.4 Responsibility for Content

You are solely responsible for your Content and Client Data. You represent and warrant that:

  • You own or have the necessary rights to upload and share your Content
  • Your Content does not violate any laws or third-party rights
  • You have obtained necessary consents to store and process Client Data
  • Your Content does not infringe on copyrights, trademarks, or other intellectual property rights

5.5 Backup and Data Loss

While we perform regular backups, you are responsible for maintaining your own backup copies of your Content. We are not liable for any loss, corruption, or deletion of your Content. We recommend regularly exporting your data.

5.6 Data Retention After Termination

Upon account termination or subscription cancellation, your Content and data will be permanently deleted within 30 days. We strongly recommend exporting your data before cancellation. Once deleted, your data cannot be recovered.

5.7 Content Moderation

We reserve the right to review, monitor, and remove Content that violates these Terms. However, we are not obligated to monitor all Content and are not responsible for Content uploaded by users.

6. Privacy and Security

6.1 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.2 Data Security

We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute security.

6.3 Multi-Tenant Architecture

PhotoCRM uses a multi-tenant architecture with complete data isolation between organizations. Your data is never shared with or accessible to other PhotoCRM users.

6.4 Data Protection

We take reasonable measures to protect your personal data. You may request access to, correction of, or deletion of your personal data by contacting us at support@photocrm.io.

7. Third-Party Integrations

7.1 Cloud Storage Services

PhotoCRM allows integration with Google Drive and Microsoft OneDrive for importing and syncing files. Your use of these services is subject to their respective terms of service. We are not responsible for the availability, reliability, or content of third-party services.

7.2 Gmail Integration

PhotoCRM offers Gmail integration allowing you to send, receive, and view email threads with your clients directly within the platform. When you connect Gmail, you authorize PhotoCRM to access your Gmail account via OAuth 2.0 to send emails on your behalf, read email threads, and sync email history. Email open tracking is enabled by default for emails sent through PhotoCRM using a 1x1 tracking pixel. You may disconnect Gmail at any time from Settings. PhotoCRM stores email metadata (subject, sender, recipients, timestamps) in its database; full email content is fetched on demand from Gmail's servers.

7.3 Google Calendar

PhotoCRM integrates with Google Calendar for syncing shoots and appointments. Your calendar data is accessed via OAuth 2.0 and is subject to Google's terms of service.

7.4 Payment Processing and Platform Fees

Client payments and invoicing are processed through Stripe Connect. Your payment information is handled in accordance with Stripe's terms and privacy policy. We do not store credit card numbers on our servers. Stripe Connect is used for direct payouts to your bank account. Payments are supported in 135+ countries and 30+ currencies.

Platform Fee Disclosure

PhotoCRM charges a 1.5% platform fee on all client payments processed through the platform. This fee is automatically deducted from each transaction and is in addition to Stripe's standard processing fees (approximately 2.9% + $0.30 per transaction). The platform fee helps us keep PhotoCRM free for all photographers. By connecting your Stripe account, you agree to this fee structure. The fee is visible in your Stripe dashboard as an "application fee" on each transaction.

7.5 Authentication Services

PhotoCRM uses Clerk for user authentication and account management. By creating an account, you agree to Clerk's terms of service and privacy policy. We support SSO and multi-factor authentication through Clerk.

8. Intellectual Property

8.1 PhotoCRM Ownership

PhotoCRM and its original content (excluding your Content), features, functionality, design, code, and trademarks are owned by PhotoCRM and are protected by international copyright, trademark, and other intellectual property laws.

8.2 Feedback

If you provide feedback, suggestions, or ideas about PhotoCRM, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.

8.3 Copyright Infringement

We respect intellectual property rights and expect users to do the same. If you believe your copyrighted work has been infringed, contact us at support@photocrm.io with details of the alleged infringement. We will investigate and take appropriate action, which may include removing the infringing Content.

9. Warranties and Disclaimers

9.1 Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted or error-free service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 "AS IS" Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. PHOTOCRM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9.3 Third-Party Content

We are not responsible for the accuracy, reliability, or availability of third-party services, integrations, or content accessed through PhotoCRM.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHOTOCRM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • LOSS OF OR DAMAGE TO YOUR CONTENT OR DATA
  • BUSINESS INTERRUPTION OR LOSS OF GOODWILL
  • ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE

IN NO EVENT SHALL PHOTOCRM'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO PHOTOCRM IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless PhotoCRM and its affiliates, officers, employees, agents, partners, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your Content or Client Data
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of any applicable laws or regulations

12. Termination

12.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or contacting us at support@photocrm.io. Upon termination, you will lose access to the Service and your data will be deleted within 30 days.

12.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Abuse of the Service or other users
  • Extended inactivity

12.3 Effect of Termination

Upon termination, your right to access and use the Service immediately ceases. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at support@photocrm.io to attempt to resolve the issue informally. We commit to working in good faith to resolve disputes.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

13.3 Arbitration

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement or other urgent matters.

13.4 Class Action Waiver

You agree that disputes will be resolved on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. General Provisions

14.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email and/or a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PhotoCRM regarding the Service and supersede all prior agreements and understandings.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

14.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, or strikes.

Acknowledgment and Acceptance

BY CREATING AN ACCOUNT OR USING PHOTOCRM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.
